TERMS & CONDITIONS OF USE

The terms and conditions set out herein below govern the use of Infowide Services Centre's ('the Company') services offered and available on the website www.infowidesc.com and all related sub-sites ('the Site').

The User is advised to read them thoroughly and carefully as they affect the User's rights and liabilities under the law. The Terms of use constiture a legally-binding agreement between Infowide Services Centre and you.

By using the Site, the User is deemed to have agreed to be bound by the terms and conditions set out in this agreement ('the Agreement'), as well as those terms and conditions incorporated by reference and/or implication.

The Company reserves the right, in its sole discretion, to change, modify or otherwiseamend the terms and conditions from time to time. The User will be notified of any amendments via announcement on the Site.

If the User continues to use the Site and/or services provided by the Company on the Site ('the Services') after the date on which any amendments come into effect, the User shall be deemed to have consented to be bound by the amended terms and conditions. In the event the User does not agree to the amendments, the User shall not continue to use the Site and/or the Services.

All user, mean the person that accesses, uses, and/or participates in the Website in any manner. If user use the Website or open an Account on behalf of a business, you represent and warrant that you have the authority to bind that business and your acceptance of the Terms of Use will be deemed an acceptance by that business and user herein shall refer to that business.

RESPONSIBILITIES OF THE USER
The User is personally responsible for his/her use of the Site and/or Services.
The User uses the Site and/or the Services at his/her own risk.
The User shall use the Services in accordance with the terms and conditions of this Agreement.

Domain Name
The domain name on which the Site is hosted on is the sole property of the Company and you may not use or otherwise adopt a similar name for your own use.

Trademark
Infowide Services Centre and its logos are trademarks or registered trademarks of the Company.
Names, marks and logos of all other products, services and companies mentioned on the Site may be the trademarks of their respective owners.

CONTENT USE CONDITIONS
All information, materials, functions and other content ("Content") on the Site including any sounds, music, text, graphics, data, stills, photographs, and moving images are copyrighted property of the Company.

Data on the Website is provided to users information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. Infowide reserves all rights not expressly granted in and to the Website and the Data. Users agree not to use, copy, or distribute, any of the Data other than as expressly permitted herein, including any use, copying, or distribution of Submitted Content obtained through the Website for any commercial purposes. If users download or print a copy of the Data for personal use, users must retain all copyright and other proprietary notices contained thereon. Users agree not to circumvent, disable or otherwise interfere with security features of the Website or features that prevent or restrict use or copying of any Data or enforce limitations on use of the Website or the Data therein.

The Website contains Infowide's Data and Marks, which are, or may become, protected by copyright, trademark, patent, trade secret and other laws, and Infowide owns and retains all rights in the Infowide Data and Marks. Subject to these Terms of Use, Infowide hereby grants you a limited, revocable, nontransferable, nonsublicensable license to reproduce and display the Infowide Data (excluding any software source code) solely for users personal use in connection with accessing and participating in the Website. The Website may also contain Data of other users or licensors, which users shall not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell.

Users may not decompile, reverse engineer or otherwise attempt to discover the source code of any Content available on the Site or the Services except under the specific circumstances expressly permitted by law or the Company in writing.

Fees and Taxes
Infowide reserves the right at its sole discretion to charge fees to Service Users and service professionals for any services that Infowide may provide, including but not limited to fees for contacting Service Users, responding to job leads generated by Infowide, or conducting transactions with Service Users through Infowide. Infowide reserves the right to charge fees for these services at its sole discretion and by using the Website, Users agree to pay any such fees as Infowide may prescribe from time to time.

Infowide acts solely as an intermediary and is not responsible to pay any tax or comply with any laws relating to tax for any transaction, sale or service provider by any service professional to any Service User. Users understand, acknowledge and agree that users are solely responsible for your own tax reporting and payment requirements.
 
ONLINE CONDUCT OF THE USER
The User undertakes:

  • to comply with this Agreement, and such other notices or guidelines that may be posted on the Site by the Company from time to time (which are hereby incorporated by reference into this Agreement);
  • not to use the Services or any Content for any unlawful purpose, and to comply with all applicable laws and regulations, including without limitation, copyright law; and
  • not to hack into, interfere with, disrupt, disable, over-burden or otherwise impair the proper working of the Site or the Services, which shall include but is not limited to denial-of-service attacks, spoof attacks, session hacking, sniffing, tampering, reverse engineering or reprogramming.


PRIVACY

Inforwide has established a privacy that explains to users how their information is collected and used. The Company collects information about its Users ('User Information') during the registration process, where Users are required to create a password on the Site. A User will only be able to edit their personal info on the Site by keying in the designated password.

All User activities are logged. When the User requests pages from the Company's servers, it automatically collects information about the User's preferences, including the User's Internet Protocol address.

The Company uses the User Information to help diagnose problems with its servers and to administer the Site. When necessary, the Company may provide User Information as provided by the User to the relevant enforcement authorities to assist in any investigation and/or in compliance with any law or regulation.
Save as aforesaid, the User Information shall not be disclosed or released by the Company to any third party except with the consent of the User.

Use of the Website is available only to individuals who are at least 18 years old and can form legally binding contracts under applicable law. Users represent, acknowledge, and agree that Users are at least 18 years of age, and that:

  • all registration or other information that Users submit is truthful and accurate
  • users will maintain the accuracy of such information
  • users use of the Website and Services offered through this Website do not violate any applicable law or regulation. Users Account may be terminated without warning if Infowide believe that users are under the age of 18 or that users are not complying with any applicable laws, rules or regulations in Malaysia

Users do not need to register with Infowide to simply visit and view the Website, but to access and participate in certain features of the Website, users will need to create a password-protected account. To create an account, users must submit user name and email address through the account registration page on the Website and create a password. users will also have the ability to provide additional optional information, which is not required to register for an account but may be helpful to Infowide in providing users with a more customised experience when using the Website.

Users are solely responsible for safeguarding users Infowide password and shall keep users Password secure at all times. User shall be solely responsible for all activity that occurs on Users Account and user shall notify Infowide immediately of any breach of security or any unauthorised use of users Account. Similarly, users shall never use another's Account without permission. Users agree that users will not misrepresent users or represent users as another user of the Website and/or the Services offered through the Website. Users hereby acknowledge and agree that Infowide will not be liable for users losses caused by an unauthorised use of users Account. Notwithstanding, Users may be liable for the losses of Infowide or others due to such unauthorised use.
 
EMAIL ADDRESS OF USERS
Users are required to submit a valid email address to the Company to registration on the Site.
The email address of the User shall not be publicly displayed on the Site. Other Users may contact the User through the Site.

TERMINATION AND SUSPENSION
The Company reserves its right to immediately suspend or terminate the User without warning and/or notice for violation of any of the terms and conditions in this Agreement.

Users hereby acknowledge and agree that Infowide in its sole and absolute discretion has the right but not the obligation to delete, terminate, or deactivate users Account, block users email or IP address, cancel the Website or otherwise terminate users access to or participation in the use of the Website or any part thereof, or remove and discard any Submitted Content on the Website immediately and without notice and for any reason. Upon termination of users Account, users right to participate in the Website in any way shall automatically terminate. On termination users Account will be disabled and users may not be granted access to users Account or any files or other data contained in users Account. Notwithstanding the foregoing, residual data may remain in the Infowide system.

Users agree to indemnify and hold Infowide, and its officers, managers, members, affiliates, successor, assigns, directors, agents, service professionals, suppliers, and employees harmless from any claim or demand, including reasonable attorneys' fees and court costs, made by any third party due to or arising out of the termination.
 
NO WARRANTY
The Company does not guarantee continuous, uninterrupted or secure access to the Services, and operation of the Site may be disrupted due to numerous factors outside the Company's control and the Company shall not be liable for any loss, liability or damage which the User may incur as a result.

The User acknowledges and agrees that the Company does not endorse or recommend, is not an agent, reseller or distributor of, and has no control over any products or services advertised on the Site through the Services, and the Company hereby expressly disclaims all liabilities and responsibilities arising in relation to any products or services whether available or advertised via the Site through the Services.

The User agrees that all statements, offers, information, opinions, materials, Content, and third party products or services, from other Users and from advertisers and other third parties on this Site should be used, accepted and relied upon only with care and discretion and at the User's own risk, and the Company shall not be responsible for any loss, damage or liability suffered by the User arising from such use or reliance.

LINKS TO THIRD PARTY WEBSITES
The Site may contain links and/or references to other websites ('Third Party Websites').
The Company shall not be responsible for the contents, accuracy and/or opinions expressed in Third Party Websites.
Third Party Websites are not investigated, monitored or checked for accuracy or completeness by the Company.
Inclusion of and/or reference to any links or internet addresses on the Site does not imply approval or endorsement of those sites by the Company.
In the event the User decides to leave the Site and access Third Party Sites, the User does so at his or her own risk.
 
EXCLUSION OF LIABILITES
To the full extent allowed by applicable law, in no event shall the Company, its parent company, subsidiaries, associated companies, directors, officers,
employees, servants, suppliers, agents or assigns, be liable under any circumstances for:

  1. any punitive, incidental, indirect or consequential damages and/or losses related to this agreement including economic losses (including, without limitation, loss of revenues, profits, contracts, business or anticipated savings);
  2.  
  3. any loss of goodwill or reputation;
  4.  
  5. any special, indirect or consequential damage arising out of or in connection with this Agreement, including but not limited to actions for breach of contract, actions under the tort of negligence, defamation, copyright infringement, trade mark infringement, passing-off, infringement of registered industrial designs , patent infringement, breach of confidence;
  6.  
  7. any liability at common law; or

  8. in any other way. Subject to the limitation stated above, nothing in this Agreement shall be deemed to limit or exclude the Company's liability for fraudulent misrepresentation, or for death or personal injury resulting from the Company's negligence or the negligence of the Company's servants, agents or employees.


For avoidance of doubt, the Company is not liable and shall not be liable for the acts or omissions of other providers of telecommunications services or for faults in or failure of their networks and equipment.

INDEMNITY
The User at all times agrees and undertakes to indemnify, hold harmless and defend the Company, its parent company, subsidiaries, associated companies, directors, officers, employees, servants, suppliers, agents or assigns from any actions, claim, demand, proceedings, costs, liabilities and expenses (including reasonable legal fees and disbursements) sustained, incurred or paid by the Company directly or indirectly, due to or arising out of the User's breach of this Agreement (including the documents incorporated by reference), or arising out of the User's violation of any law or the rights of a third party.


RELEASE
In the event that one User has a dispute, claim and/or action against one or more other Users, the User hereby agrees to release the Company, its parent company, subsidiaries, associated companies, directors, officers, employees, servants, suppliers, agents or assigns to the full extent allowed by the applicable law from all claims, demands, expenses, costs and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed (including legal fees) arising out of or in any way connected with such disputes.


GOVERNING LAWS
This Agreement shall be governed by and construed in accordance with the laws of Malaysia, and shall be subject to the non-exclusive jurisdiction of Malaysian courts.

GENERAL PROVISIONS
Any person who is not a party to this Agreement does not have any right to enforce any of the terms and conditions contained herein.
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck out and the remaining provisions shall be enforced.
The User agrees that this Agreement and all incorporated agreements may be automatically assigned by the Company, in its sole discretion, to a third party in the event of a merger or acquisition.
The User and the Company are independent contractors, and no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is intended or created by this Agreement.
Failure of the Company to act with respect to a breach by the User or others shall not constitute a waiver of its right to act with respect to subsequent or similar breaches.
Headings and captions of this Agreement are included for ease of reference only and in no way define, limit, construe or describe the scope or extent of any provisions in this Agreement.
Words importing one gender shall include any other gender unless stated otherwise.
Words in the singular number shall include the plural and words in the plural number include the singular unless otherwise stated.

NOTICES
Notices to the User shall be sent to the email address provided to the Company. Notices are deemed to be sent within 24 hours of the time of sending of the email unless the Company receives notification that the email address is invalid, or where sent by normal post to the User's address, shall be deemed to be received after 14 days from the date of posting.


DISPUTES
Your interactions with individuals and/or organizations found on or through the Website, including payment of and performance of any Service, and any other terms, conditions, warranties or representations associated with such transactions or dealings, are solely between users and such individual or organization. Users should take reasonable precautions and make whatever investigation or inquiries users deem necessary or appropriate before proceeding with hire, payment or transaction of any kind with any party.

Users understand that deciding whether to use the Services of a service professional or provide Services to a Service User or use information contained in any Submitted Content is users personal decision for which alone are responsible. Users understand that Infowide does not and cannot make representations as to the suitability of any individual users may decide to interact with on or through the Website and/or the accuracy or suitability of any advice, information, or recommendations made by any individual. In the event of any dispute between users, a Service User, service professional or any third party in relation to the Website, such dispute shall be resolved between users and such Service User, service professional or any third party and Infowide shall not have or hold any responsibility, liability or obligation in relation thereof
.

NOTWITHSTANDING THE FOREGOING, USERS AGREE THAT INFOWIDE SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGE OF ANY SORT WHATSOEVER INCURRED AS THE RESULT OF ANY SUCH TRANSACTION OR DEALINGS. IF THERE IS A DISPUTE BETWEEN PARTICIPANTS ON THE WEBSITE, OR BETWEEN REGISTERED USERS OR ANY WEBSITE USER AND ANY THIRD PARTY, USERS ACKNOWLEDGE AND AGREE THAT INFOWIDE IS UNDER NO OBLIGATION TO BECOME INVOLVED. IN THE EVENT THAT A DISPUTE ARISES BETWEEN USERS AND ONE OR MORE WEBSITE USERS, REGISTERED USERS OR ANY THIRD PARTY, USERS HEREBY RELEASE INFOWIDE, ITS OFFICERS, MANAGERS, MEMBERS, DIRECTORS, EMPLOYEES, ATTORNEYS, AGENTS, AND SUCCESSORS IN RIGHTS FROM ANY CLAIMS, DEMANDS, AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND OR NATURE, KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, FORESEEABLE OR UNFORESEEABLE, DISCLOSED OR UNDISCLOSED, ARISING OUT OF OR IN ANY WAY RELATED TO SUCH DISPUTES AND/OR THE WEBSITE OR ANY SERVICE PROVIDED THEREUNDER.
 

ADVERTISEMENTS AND THIRD PARTY LINKS
Aspects of the Website and other Infowide services may be supported by advertising revenue. As such, Infowide may display advertisements and promotions on the service. The manner, mode and extent of advertising by Infowide on the Website are subject to change and the appearance of advertisements on the Website does not necessarily imply endorsement by Infowide of any advertised products or services. Users agree that Infowide shall not be responsible or liable for any loss or damage of any sort incurred by users as a result of any such dealings or as the result of the presence of such advertisers on the Website.

The Website may provide, or third parties may provide, links, contact forms and/or phone numbers to other websites or resources, including, without limitation, social networking, blogging and similar websites through which users are able to log into the Website using users existing account and log-in credentials for such third-party websites. Users acknowledge and agree that Infowide is not responsible for the availability of such external sites or resources, and is not responsible or liable for any content, advertising, products, goods or services on or available from such websites or resources. Unless expressly stated on the Website, links to third-party sites should in no way be considered as or interpreted to be Infowide's endorsement of such third-party sites or any product or service offered through them.

Users further acknowledge and agree that Infowide shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, advertising, product, goods or services available on or through any such website or resource. Users also acknowledge that it is users obligation to comply with any terms and conditions of any third parties that users may come into contact with either directly or indirectly through the use of the Website, and Users accept all responsibility thereof. Users dealings and communications through the Website with any party other than Infowide are solely between users and such third party. Any complaints, concerns or questions users have relating to materials provided by third parties should be forwarded directly to the applicable third party.
